Stuart Rhodes brought the meeting to order at 2:30 P.M.

SUMMARY OF DISCUSSION

The first item to be discussed on the agenda was the Cable Agency Report. Mr. Maultra presented the Cable Agency report, which highlighted the events that have taken place at the Cable Agency last month. Stating the Agency has been working with the Chief Information Officer (CIO) and his staff in designing a survey to assess the needs of the township fire departments with regard to their requested use of the Institutional Network (INET). This will help the Agency with regard to discussions they have been having with Comcast on implementing the INET per the 1996-franchise agreement. Additionally, the agency met with the CIO’S Office with regard to formulating a list of INET locations as it relates to the franchise language in the new operator agreements with TotaLink and Digital Access.

The Cable Agency has reviewed the recent audits performed by Action Audits that examined rate filings by both operators with respect to limited basic cable and associated equipment. With respect to Comcast, the Agency forwarded a copy of the audit to them to allow them an opportunity to respond to the auditor’s findings.

The Cable Agency has continued to assist and share information with the Department of Capital Asset Management for the City with regard to right of way (ROW) management of streets and easements. The City is undertaking a review of its approach and treatment to occupants of the City ROW. The Cable Agency has historically supported previous administrations in research and recommendations with regard to right of way policy matters.

The Agency had been serving as a consumer advocate in mediating a number of cable television complaints received by its office.

The next item on the agenda was the Channel 16 Programming report presented by Mr. Montgomery. Mr. Montgomery highlighted some activities of Channel 16 for the month of February. In February there were 52 hours and 15 minutes of Live and Tape delay meetings. Special Events production totaled 16 hours and 3 minutes. Series programming totaled 5 hours.

In the area of In-Kind Production, Channel 16 had 4 hours and 1 minutes. Total new production was 77 hours and 19 minutes.

The next item on the agenda was the Cable Operator’s Management Report. Mr. Al Aldridge stated Time Warner installations: 4,385 and completed 3,428 days. Incoming calls for the month was 44,516 received and 43,318 handled; 85.2% were answered within 30 seconds. Time Warner received 3,246 service calls; scheduled 2,314 and completed 2,147; 98.3% within 36 hours. Time Warner had 31 outages.

Al Aldridge state Time Warner aired 108.5 hours of lease programming on WAV 53. The Community Involvement report supports a list of different community events and programming (see report).

The next item on the agenda was the Comcast Management Report. Mr. Apple stated Comcast lost customers in the month of January. Incoming calls for the month were 56,891 received and 54,948 handled. Comcast had 59 outages including 3 planned outages. Comcast received and scheduled 2,806 service calls and completed 2,016; 99.8% completed within 36 hours or by customer request. Installations; Comcast scheduled 1,799 and completed 1,122; 100.0% within 7 days or by customer request. See construction report.

The next item on the agenda was the TOTALink presentation. Peter Jablonsky stated TOTALink is still largely in the pre-construction phase of operations. TOTALink continue to map the county and city, conduct pre-engineering surveys and various other pre-construction activities. TOTALink do not plan on starting actual network construction until March 31, 2001.

TOTALink signed a lease for its Central Office/Headend during the month of February. TOTALink will locate the facility at 250 west North Street. TOTALink continues to install pole anchors in phase one and other strategic areas of the city and county. The pole owners requires anchor placement prior to installation of support strand for coaxial and fiber optic cables.

Mr. Joel deJesus address the notice of reorganization for TOTALink. Stating the reorganization will not result in any actual change in ultimate control of TOTALink or its franchise, this notice is being provided to the City pursuant to Section 10.08 if the Franchise Agreement between the Consolidated City of Indianapolis, Indiana and TOTALink because the reorganization technically will cause an intermediate ownership change of greater than 20%.

Mr. deJesus stated TOTALink’s holding company structure will be changing to take advantage of a debt financing. The reorganization will create a separate "TOTALink-specific" line of holing companies between Utilicom Networks LLC and TOTALink, whereas currently TOTALink’s ownership is bound up with the ownership of its sister subsidiaries SIGECOM, LLC and TOTALink of Ohio, LLC. The proposed line of new holding companies-TOTALink of Indiana Holdings, LLC and TOTALink of Indiana Finance, LLC—are intended to serve as entities into which Vectren and lenders can provide their lenders as a mater of course, and really should be treated as a formality since TOTALink’s ultimate management and shareholders will not change.

The next item on the agenda was the ETC report. Mr. Earl Harris stated as announced previously, that ETC has begun putting together its Board of Directors. A meeting was held recently with potential members to discuss the ETC. The Board of Directors will help with the future structure of ETC and help move the organization forward.

Mr. Harris stated discussion has taken place with Butler University about three student-produced programs being placed on the ETC channels. If agreed upon, the shows could be in place by April.

"Virus of Violence" is a program produced by the local Production Company 19th Star. It focuses on desensitization occurring in children through the violence they are exposed to by playing video games and watching violent movies and television shows. The program is hosted and narrated by actor Martin Sheen. ETC thanked Karen Kennedy-Pierce from Time-Warner Cable for helping ETC acquire this program.

Warren Township has a new staff member in charge of student television productions. They have contacted ETC about bringing back the previously produced show "Warren Township Magazine", as well as starting a new show called "Sound Off" which will focus on students issues.

Public Comment: Mr. Smashey asked on the status of the Mayoral appointees for the Cable Board also Mr. Smashey also complained in reference to Time Warner/AOL channel link us switch.

There were no further business to come before the Board, Mr. Rhodes adjourned the meeting at 3:20 P.M.
